Blue Chip Racing Resorts, LLC or an affiliated entity (collectively or separately, "VIR") will assign vendor spaces based on need, requirements and event layout.
Applications will be approved or denied based on event needs, space availability, time frame in which the application was submitted and/or amount of duplicated products. The submittal of a vendor application does not guarantee vendor acceptance into any event. All final vendor decisions are at the discretion of VIR. VIR reserves the right to deny or cancel an y vendor that does not follow the professional guidelines of VIR. VIR does not guarantee exclusivity for any vendor or particular item.
There are no refunds for approved vendors unless deemed necessary by VIR. VIR is not obligated to refund fees as a result of weather or any other occurrence or conditions.
ADDITIONAL TERMS AND CONDITIONS
Vendors are directed to drop off their equipment/supplies in specified area during times established by VIR. Vehicle parking and/or trailer parking will not be guaranteed at vendor location.
LIABILITY INSURANCE REQUIREMENT FOR VENDORS:
Vendors must have a minimum of
$1,000,000 general liability insurance coverage and the policy must name the following entities and individuals as additional insureds: VIRginia International Raceway, LLC; Connie Nyholm; Kathy Stout; VIR Operations, LLC; Blue Chip Racing Resorts, LLC; The Villas at South Bend, LLC; The Lodge at VIR, LLC;
South Bend Farm, Inc.; Patriot Racing, LLC; ViJo, LLC and VMT P, LLC (collectively the "VIR Entities"). The insurance coverage required by this paragraph must extend coverage to all of the VIR Entities' owners, officers, directors, members, employees, servants, agents, and participants. The policy must not exclude coverage for any occurrences at or near racing facilities. A current certificate of insurance and additional insured endorsement must be included with this application. Please note that a certificate alone is NOT sufficient.
All vendors with more than three employees must also provide proof of their worker's compensation insurance.
Vendors will be provided with Complimentary Worker passes to gain entry depending on space size. The number of complimentary passes will be as follows: 10x10 (2 worker passes and 1 vehicle parking pass) 20x20 or 400 square feet up to 1,000 square feet (3 worker passes and 2 vehicle passes) and one additional worker pass will be given for every additional 1,000 square feet.
SETUP, BREAKDOWN, AND HOURS OF OPERATION:
Event operation is from the beginning day of the event until the conclusion of the final race for the day’s event.
Vendors will be charged a vending fee based whether the event is non-spectator or spectator and on the size and space they require for their display. Please contact VIR directly for updated pricing on Spectator fees; for non-spectator event fee’s then please click on this link. Vending fees do not include power, Wi-Fi, camping, off-road vehicle pass, water, tents, tables or chairs. All vendor fees must be paid in full at the time of submitting this application. Any vendor not being paid in full, submitting certificate of insurance or not providing proof of worker’s compensation insurance will not be allowed to vend.
No alcoholic beverages may be advertised, sold or served by any vendor, unless previously arranged and approved by VIR and properly licensed.
ASSIGNMENT AND CANCELLATION:
The Vendor may not assign this contract to any other party, nor may the space or location be shared with any other party or vendor without the express, written approval of VIR.
Vendors are not permitted to sell any merchandise with logos without authorization and proper licensing to do so.
GENERAL RELEASE AND INDEMNIFICATION:
The undersigned, individually and on behalf of the Vendor and all of the Vendor’s owners, officers, directors, members, employees, volunteers, servants, representatives, and agents, in consideration for VIR's permission to attend the Event, does hereby d ischarge, release, indemnify, and hold harmless the VIR Entities, their owners, officers, directors, members, e m p l o y e e s , s e r v a n t s , a g e n t s , a n d p a r t i c i p a n t s , a n d a l l s p o n s o r i n g organizations, from any and all manner of actions, suits, damages or claims whatsoever arising from any loss or damage to the person or property of the Vendor and the Vendor's owners, officers, directors, members, employees, volunteers, servants, representatives, and agents while on premises owned or controlled by any of the VIR Entities, including but not limited to any and all claims for personal injury or death, product liability, theft, breakage, or other damage. Vendor expressly assumes the risk of rain, wind, lightning, and other weather-related elements on the days of the event, as well as all hazards relating to the operation of a motorsports event. Vendor further agrees to indemnify, hold harmless, and defend the VIR Entities and all of their owners, officers, directors, members, employees, servants, agents, and participants, and all sponsoring organizations, for, from, and against all claims, damages, losses, and expenses, including attorneys' fees and litigation costs and expenses, that pertain or relate to, or arise from, any injury, damage or any other cause relating to Vendor's presence on premises owned or controlled by any of the VIR Entities or Vendor's participation in any event on such premises.
I acknowledge that I have read the above statements in their entirety understand and agree to abide by the commitments that this contract requires, and I am authorized to sign this contract on behalf of Vendor. I agree that the Vendor will adhere to the policies set forth by VIR. Furthermore, I expressly am not relying on any representations by VIR related to the number of persons to be attending the event, or the revenue to be derived therefrom.
This contract represents the sole agreement between the parties and no other representations; statements or understandings are included as any part of this agreement. Section headings are for organizational purposes only and shall not affect the interpretation of the section.
